IN A NUTSHELL

1. Introduction

1.1 The following Terms and Conditions apply to the access and use made of the ValuationGenius Services and constitute the entire agreement between you and ValuationGenius.

1.2 By using the online tool on the ValuationGenius website, you agree to be bound by the Terms and Conditions set out herein (the “Terms”). Please make sure you have read and understood the Terms before using the online tool. If you do not agree to the Terms, you are not authorized to make use of the ValuationGenius Services.

1.3 We reserve the right to amend the Terms from time to time without prior notice to you. If a change has taken place, there will be an indication at the bottom of the Terms of the date they were last revised.

2. Definitions

2.1 Agreement means the agreement that consists of these Terms, concluded between you and ValuationGenius, and governing your access to and use of the ValuationGenius Services.

2.2 Visitor means any person who visits the ValuationGenius website and who can make use of the ValuationGenius Services without becoming a Registered User.

2.3 Registered User means any visitor who registers to the ValuationGenius platform and has a personal account, and who may purchase the Services offered by ValuationGenius.

2.4 ValuationGenius Website means the homepage of the ValuationGenius website and all related web pages, through which a visitor can access the ValuationGenius Services.

2.5 Services means the report generation system provided by ValuationGenius to Registered Users upon payment, consisting of quantitative valuation reports.

3. Use of the services and restrictions

3.1 ValuationGenius grants you the non-exclusive, non-sublicensable, and non-transferable right to have access to the Services offered by ValuationGenius.

3.2 Visitors do not have access to the Services and may not purchase the Services offered by ValuationGenius unless they become Registered Users.

3.3 Registered Users have the right to purchase the Services offered by ValuationGenius and do not have the right to access the ValuationGenius platform and Services otherwise.

3.4 The Services made available to you are provided solely for your own use. You shall not sell, transfer, sublicense, distribute, commercially exploit or otherwise make available to, or use for the benefit of, any of the Services. You may not include the Services in any product or service which you sell.

3.5 You shall not attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Services in any form or media or by any means. You shall not attempt to reverse compile, disassemble, reverse-engineer all or any part of the Services. You shall not access all or any part of the Services in order to build a product or service which competes with the Services and you shall not use the Services to provide services to third parties. Use of any automated system or software to extract data from the ValuationGenius Website or the Services (“screen scraping”) is hereby expressly prohibited.

4. Creating an ValuationGenius account

4.1 A visitor to the ValuationGenius website is anonymous and may, optionally, create an ValuationGenius account and become a Registered User by submitting the required information in the online account registration form.

4.2 The Registered User must be a person. Accounts registered by “robots” or by other automated methods are not permitted.

4.3 You are responsible for maintaining the confidentiality of your ValuationGenius log in credentials. ValuationGenius cannot be held responsible in that regard.

4.4 You are responsible for all activities undertaken under and content placed within your ValuationGenius account.

5. Services and payment terms

5.1 The Services are available solely to Registered Users, upon payment of a one-time fee for a 30-day access to the report generation system.

5.2 For the duration of the 30-day access period, Registered Users have the right to generate quantitative valuation reports.

5.3 ValuationGenius does not retain any information about the case after the 30-day validity period has ended.

5.4 Registered Users make a one-time payment for the access to the report generation system for 30 days.

6. Intellectual property rights

6.1 Except as expressly provided herein, access to the Services does not grant you any database rights or rights in the copyright, trademarks or any other intellectual property rights of ValuationGenius or any third party.

6.2 The Services and everything on the ValuationGenius website are protected by copyright and other intellectual property rights. You are not permitted to adapt, alter, modify, reverse engineer, de-compile or otherwise interfere with any element of the Service without ValuationGenius’s written permission. ValuationGenius may take steps to assist identification of its Service.

7. Limitation of liability

7.1 ValuationGenius’s Service is based upon data provided by third parties, and ValuationGenius does not guarantee the accuracy or reliability of such data. The Service is provided on an “as is” basis without warranties of any kind, whether express or implied.

7.2 ValuationGenius disclaims all liabilities in contract, negligence, for breach of statutory duty, or under any indemnity or otherwise in connection with the Service and shall not be liable for any indirect or consequential loss.

7.3 In the event of any valid claim against ValuationGenius, its liability shall be limited to the amount paid for the Services supplied under this Agreement.

8. Agreement duration and termination

8.1 The Terms shall be in force upon your registration on the ValuationGenius website and creation of an ValuationGenius account, and shall remain in force for an indefinite period of time.

8.2 ValuationGenius may terminate this Agreement with immediate effect and without prior notice if it believes you have breached any provision of this Agreement or in the event of your insolvency or bankruptcy.

8.3 Upon termination, you must delete all of the Services held by you in any format.

9. Confidentiality

9.1 Each party undertakes that it shall not at any time disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of the other party except as permitted by clause 9.2.

9.2 Each party may disclose the other party’s confidential information as may be required by law, court order or any governmental or regulatory authority.

9.3 No party shall use any other party’s confidential information for any purpose other than to perform its obligations under this Agreement.

10. Miscellaneous

10.1 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain in force.

10.2 The terms of this Agreement, the provision of the Service and the relationship between you and ValuationGenius shall be governed by the laws of Denmark. You agree to submit to the exclusive jurisdiction of the courts of Denmark in Valencia.

10.3 The failure of ValuationGenius to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such a right.
